Michael Dell on Going Back Under Wall Street's Spotlight

The holders could exchange their tracking stock for shares in Dell, Class C Common Stock at a 1:1.3665 ratio, or $109/share in cash.

Dell said in its most recent quarter it recorded revenue of $21.4 billion, up 19% year-over-year, and over the past 12 months the company generated $82.4 billion of revenue with a net loss of $2.3 billion.

Dell said it will list its Class C shares on the New York Stock Exchange following the completion of the deal that will eliminate its tracking stock.

The shares that track its interest in VMware Inc. jumped 8 per cent in early trading.

As Chief Executive Officer, Dell has considered a variety of options to streamline his multicompany tech empire and help the business manage the debt, which stood at $52.7 billion in the latest fiscal first quarter, including its subsidiaries, even after paying down billions.

Private equity behemoth Silver Lake, which partnered with Michael Dell to take Dell private in the largest private equity buyout in technology industry history, said it would maintain its entire 24 percent stake in Dell Technologies as part of the transaction.

Earlier this year, Dell Technologies said it was undergoing a significant strategic review and might enter the public markets again, while potentially buying the rest of business software provider VMware that it didn't already own. The agreement also included EMC's majority stake in VMWare, which now has a market cap of around $50 billion, as well as ownership of Pivotal, SecureWorks, RSA and VirtuStream.

Watch VMware and Dell trade in real time here. VMware's board of directors voted to declare an $11 billion cash dividend to all of their stockholders. Following the deal, investors who owned the tracking stock will in aggregate account for between 20.8 percent and 31 percent of Dell's ownership.

The transaction represents a premium of 28.9 percent to the closing price of Dell's tracking stock on Friday. VMW 10.24% -a move that would make Dell a publicly traded company once again.

Michael Dell has turned to dealmaking to transform his company from a PC manufacturer into a broader seller of information technology services to businesses, ranging from storage and servers to networking and cyber security. "The change in the tax law was not any material change to the financial condition of the company", Mr. Dell said.
